Terms of Service

These Terms of Service govern your use of PausePOS. By using the Service, you agree to be bound by these Terms. We have tried to write them in plain language. If anything is unclear, please email [email protected].

1. Acceptance of Terms

By accessing or using the PausePOS Point of Sale system and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (the "Customer", "you", or "your") and Dynamic Web Lab FZE LLC, a Free Zone company registered in the United Arab Emirates with trade license number 4426361 ("PausePOS", "we", "us", or "our").

2. Description of Service

PausePOS provides a cloud-based point-of-sale platform for UAE retailers, including point-of-sale, inventory management, customer management, electronic invoicing (PINT-AE), loyalty, kitchen display, payment terminal integration, and reporting. The Service is offered on paid subscription plans (Basic, Pro, Business) as described on our Pricing page.

Features, limits, and pricing for each Plan are described on the Pricing page published at pausepos.com/pricing, which is incorporated into these Terms by reference. We may update features, limits, and pricing from time to time as set out in Section 17.

3. Eligibility and Account Registration

To use the Service, you must: (a) be a legally registered business in the United Arab Emirates or another jurisdiction where use of the Service is lawful; (b) have a valid UAE Trade License (or equivalent) and Tax Registration Number (TRN) where applicable; (c) be at least 18 years old; and (d) provide accurate, current, and complete information during registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account at [email protected].

4. Subscriptions

PausePOS is offered on paid subscription plans (Basic, Pro, Business) as described on our Pricing page. We may, at our sole discretion, offer promotional pricing, extended trials, or discounts for specific customers.

Subscriptions may be subject to usage limits per plan (e.g., number of orders, products, or users). We reserve the right to suspend or terminate accounts that abuse the system or violate these Terms.

5. Subscriptions, Fees, and Payment

Paid plans are billed monthly or annually in advance, in UAE Dirhams (AED), via Stripe. Fees are non-refundable except where required by UAE law. We may change subscription fees at any time, but changes will not apply to your current billing cycle. We will provide at least 30 days' notice of fee changes via email.

If your payment cannot be processed when due, we may suspend or terminate your access to the Service. You are responsible for keeping your payment information current. All prices are exclusive of VAT, which will be added at the prevailing UAE rate (5%) on invoices.

6. Customer Responsibilities and Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations, including UAE Federal Decree-Law No. 8 of 2017 (VAT Law), Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law), and Federal Decree-Law No. 34 of 2021 (Electronic Transactions). You are specifically responsible for:

  • Configuring VAT, tax groups, and product classifications correctly for your business.
  • Maintaining the confidentiality of staff login credentials and access tokens.
  • Obtaining all necessary rights, licenses, and consents to process customer personal data via the Service.
  • Not using the Service to sell illegal, prohibited, or counterfeit goods under UAE law.
  • Not attempting to reverse-engineer, decompile, or extract the source code of the Service.
  • Not using the Service to transmit viruses, malware, or any malicious code.

7. Data Ownership and License

You retain full ownership of all business data you upload, create, or process through the Service ("Customer Data"). By using the Service, you grant PausePOS a limited, non-exclusive, worldwide license to host, process, transmit, and back up Customer Data solely to provide the Service and as described in our Privacy Policy.

AI Improvement License: You grant PausePOS a license to use anonymized and aggregated data derived from your usage (such as product categories, transaction counts, and pricing trends, but excluding any personally identifiable information, customer names, or financial amounts) to train, fine-tune, and operate AI models and suggestion engines to improve Service functionality for all users.

8. Intellectual Property

The Service, including all software, designs, trademarks, logos, and documentation, is and will remain the exclusive property of Dynamic Web Lab FZE LLC and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited license to use it in accordance with these Terms. PausePOS and the PausePOS logo are trademarks of Dynamic Web Lab FZE LLC.

9. Third-Party Services

The Service may integrate with or depend on third-party services, including but not limited to: Stripe (payments), Cloudflare (CDN and security), Sentry (error monitoring), OpenAI (AI features), Twilio / Meta (WhatsApp), ClearTax / Flick (e-invoicing ASPs), and PINT-AE ASPs. Your use of these third-party services is subject to their respective terms and privacy policies. PausePOS is not responsible for the availability, accuracy, or content of third-party services.

10. Service Availability and Support

We aim to maintain 99.5% monthly uptime for the production Service, excluding scheduled maintenance and force majeure events. Service credits for SLA breaches are available on Starter, Growth, and Enterprise plans as described in the Service Level Agreement. Free trial accounts are not eligible for service credits.

Customer support is provided via email ([email protected]) and WhatsApp during UAE business hours (Sun-Thu, 9:00-18:00 GST). Response time targets: Starter 24h, Growth 8h, Enterprise 2h. Trial accounts receive best-effort support.

11. Data Backup and Export

We perform automated daily backups of Customer Data, retained for 30 days. You may export your Customer Data at any time via the dashboard (Settings → Export) in standard formats (CSV, JSON, PDF). On termination of your account, you have 30 days to export your data, after which it will be permanently deleted in accordance with our retention policy.

12. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for: (a) non-payment of fees; (b) violation of these Terms or our Acceptable Use Policy; (c) activities that threaten the security, integrity, or availability of the Service; (d) a request by law enforcement or a UAE court; or (e) extended inactivity of the account (more than 12 months).

You may terminate your subscription at any time from the dashboard (Settings → Subscription → Cancel). Termination takes effect at the end of the current billing cycle. We do not provide refunds for partial months or unused subscriptions, except where required by UAE law.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PAUSEPOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY UAE LAW, PAUSEPOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF PAUSEPOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PAUSEPOS' TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE TOTAL FEES PAID BY YOU TO PAUSEPOS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR AED 1,000, WHICHEVER IS GREATER. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, DEATH, OR PERSONAL INJURY WHERE SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY UAE LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless PausePOS, its affiliates, officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) the Customer Data you upload to the Service.

16. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is marked as confidential or that a reasonable person would understand to be confidential. This obligation survives termination of these Terms for a period of three (3) years. The confidentiality obligation does not apply to information that is: (a) publicly known; (b) independently developed; (c) required to be disclosed by law or court order; or (d) already known to the receiving party without restriction.

17. Modifications to the Service and Terms

We may modify the Service and these Terms at any time. For material changes, we will provide at least 30 days' notice via email and in-app notification. Material changes include: (a) changes to fees; (b) changes to data processing practices; (c) changes to liability or warranty disclaimers; or (d) changes to termination rights. Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you may terminate your subscription and receive a pro-rated refund of prepaid fees.

18. Force Majeure

PausePOS shall not be liable for any failure or delay in performance of the Service caused by circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, government actions, internet or telecommunications failures, power outages, natural disasters, pandemics, denial-of-service attacks, or failures of third-party services. In such cases, our obligations will be suspended for the duration of the force majeure event.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the Dubai Courts. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through negotiation for a period of thirty (30) days from written notice of the dispute.

Nothing in this Section limits either party's right to seek injunctive relief in the Dubai Courts to protect its intellectual property or confidential information.
